Description of Service

Vine Gremlin is an inventory management tool designed specifically for Amazon Vine participants. Our Service allows you to:

• Import and track Vine items from your Amazon account
• Manage inventory through “Held” and “Ready for Sale” categories
• Track the 6-month hold period for Vine items
• Record sales across multiple marketplaces
• Generate tax summaries and reports
• Collaborate with team members on inventory management

Account Registration

To use Vine Gremlin, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Service.

Subscription & Payment

Free Trial

We may offer a free trial period for new users. At the end of your trial, you will need to subscribe to a paid plan to continue using the Service.

Subscription Plans

Vine Gremlin is offered as a subscription service. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your chosen plan) until you cancel.

Payment Processing

All payments are processed securely through Stripe. We do not store your complete credit card information on our servers. You agree to provide current, complete, and accurate billing information.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. We do not offer refunds for partial billing periods.

Acceptable Use

You agree to use Vine Gremlin only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Interfere with or disrupt the Service or servers
• Use automated systems or software to extract data from the Service
• Transmit viruses, malware, or other malicious code
• Impersonate another person or entity
• Share your account credentials with others
• Resell or redistribute the Service without our written consent
• Use the Service to compete with or replicate our business

Your Data & Content

Ownership

You retain full ownership of all data and content you enter into Vine Gremlin. This includes your inventory information, notes, sale records, and any other data you provide.

License to Us

By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you. We will never sell your data or use it for any purpose other than operating the Service.

Data Export

You may export your data at any time. We believe your data belongs to you, and you should always have access to it.

Data Accuracy

You are responsible for the accuracy of the data you enter into Vine Gremlin. We provide tools to help you track your inventory, but we do not verify the accuracy of your entries.

Intellectual Property

Our Property

The Vine Gremlin service, including its original content, features, functionality, design, and branding, is and will remain the exclusive property of WhistleStack. Our Service is protected by copyright, trademark, and other intellectual property laws.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions or you have our written permission.

Third-Party Services

Vine Gremlin may integrate with or reference third-party services, including:

• Amazon (for Vine item data import)
• Stripe (for payment processing)
• Various marketplaces (eBay, Mercari, Etsy, etc.) for tracking sales

We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

Disclaimer of Warranties

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy or reliability of any information obtained through the Service.

Vine Gremlin is not a tax preparation service. Any tax summaries or reports generated by our Service are for informational purposes only and should not be considered tax advice. Consult a qualified tax professional for tax-related decisions.

Limitation of Liability

To the maximum extent permitted by law, WhistleStack and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Personal injury or property damage
• Any damages arising from your use of the Service
• Any unauthorized access to or alteration of your data

In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless WhistleStack and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may also update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the “Effective Date.” Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

By Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to our Service, other users, or third parties.

Effect of Termination

Upon termination, your data will be deleted from our active systems in accordance with our Privacy Policy. We may retain certain information as required by law or for legitimate business purposes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the United States.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WhistleStack regarding the use of the Service and supersede any prior agreements between you and WhistleStack.
